Mintrix-AI (OPC) Pvt. Ltd.

1. Acceptance of Terms

  • By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.
  • If you are accessing or using the Services on behalf of a school or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

  • "Mintrix": Refers to Mintrix and its affiliates.
  • "Services": The Mintrix AI-powered education platform, including modules like fee management, attendance, academic tracking, communication, and related support services.
  • "School": The educational institution subscribed to Mintrix Services.
  • "User(s)": Authorized individuals (admins, teachers, parents, students).
  • "Content": All uploaded, downloaded, or displayed materials on the Services.

3. Account Registration and Access

  • Accounts are created and managed by the School, with credentials provided by administrators.
  • You are responsible for maintaining your login confidentiality.
  • Report unauthorized use to your school administrator immediately.

4. Use of the Services

License: A limited, non-transferable license to use the Services for educational purposes.

Permitted Use: For internal school use only.

Prohibited Conduct:

  • Illegal activities or violation of laws.
  • Uploading harmful or infringing content.
  • Disruption or unauthorized access to systems.
  • Reverse engineering or resale of the Services.
  • Automated scraping or misuse of AI features.

5. School's Responsibilities

  • Responsible for all activities under their accounts.
  • Obtain necessary consents for data collection and use.
  • Ensure accuracy of user information and compliance with Terms.

6. Intellectual Property

  • Mintrix IP: All rights reserved by Mintrix, including code, AI, and trademarks.
  • User Content: Retains user ownership, but Mintrix has a license to use it for Services.
  • Feedback: Feedback is voluntarily provided and may be freely used by Mintrix.

7. Disclaimers and Limitations of Liability

  • "AS IS": Services are provided without warranty.
  • No guarantee of uninterrupted or error-free service.
  • AI Disclaimer: AI output is based on data and not guaranteed to be 100% accurate.
  • Limitation: Mintrix is not liable for indirect or incidental damages, data loss, or service failures.

8. Indemnification

You agree to indemnify Mintrix and its affiliates against claims and losses arising from your use of the Services or violations of the Terms.

9. Subscription, Payments, and Termination

  • Subscription agreements are between Schools and Mintrix.
  • Payment terms are contractually defined.
  • Schools or Mintrix may terminate access with or without cause.
  • Post-termination, access is revoked and certain provisions survive.

10. Governing Law and Dispute Resolution

  • Governed by the laws of India, specifically Haryana state.
  • Disputes fall under the jurisdiction of Sonipat, Haryana courts.
  • (Optional) Arbitration clause may be added for dispute resolution.

11. General Provisions

  • These Terms, the Privacy Policy, and other notices constitute the full agreement.
  • If a clause is invalid, the rest remains enforceable.
  • No waiver unless explicitly stated.
  • No assignment of rights without consent.
  • Force Majeure clause: Mintrix is not liable for delays beyond its control.

12. Changes to Terms

  • Mintrix may update the Terms anytime.
  • Changes will be communicated via the website or other means.
  • Continued use implies acceptance of revised Terms.
